Forming a New Business? 4 Legal Aspects to Take Care Of

Jun 30, 2022

Starting a new business can be exciting. You are beginning on a journey that could make your entrepreneurial dreams into reality. However, there are aspects of this process you must not ignore. Of these aspects, the legal ones are some of the most important and can have the biggest consequences. Below are four legal aspects to take care of with a new business.

Business Entity

One of the most important decisions you must make is choosing a business entity. This is a legal process, and it will determine the rules your company has to play by in regards to regulators, the IRS, local governments, and more. Your choices include sole proprietorship, partnership, corporation, and limited liability company. Some of these include further options such as a limited partnership or general partnership. Each choice has its own benefits and downsides to consider. Thoroughly discuss this all with your lawyer.

Business Transactions

Another very legal aspect of your company involves business transactions. This includes things like supplier contracts, financing agreements, employment agreements, leases, and more. If these contracts are not properly penned, it can result in serious consequences for your business. Make sure to obtain business transaction law services to ensure that your contracts and other agreements for different business transactions are up to snuff. Especially in regards to adhering to the law and protecting your company’s interests.

Intellectual Property

While a business may exist as brick and mortar in one sense, in another sense, it also exists as a combination of ideas. This is where intellectual property comes into play. For example, your business idea may include a specific name, logo, and maybe even a mascot character. These are trademarks. If your business involves the creation of creative works such as books, music, or internet video programs, these would be protected under copyright law and require the assistance of a lawyer. Lastly, if you designed a specific invention, you must obtain a patent for it.

Litigation Aversion

Lastly, your business’s different processes and practices must be designed in a way that conforms to the law and averts litigation. Lawsuits are a huge risk every business, both large and small, faces on a daily basis. If you do not take steps to lower your risk threshold for litigation with consultation from lawyers, you could end up being put out of business by a lawsuit.

Overall, there are many complex legal issues that businesses have to contend with. This list is only a few of them. Work with your lawyer or legal team to work through each substantive legal issue you must contend with as a business owner. If you don’t, it could lead to your future downfall.
